Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") form a binding contract between MobiusVision LLC, a Wyoming limited-liability company ("MobiusVision," "we," "our," "us"), located at 30 N Gould St Ste N, Sheridan, WY 82801, USA, and any person or entity ("you," "Customer") that accesses or uses our services.

By accessing or using GoodMorningBuddy (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

GoodMorningBuddy is an AI-powered daily check-in and morning companion service delivered via SMS text message. The Service allows a subscribing customer ("Caregiver") to set up a personalized daily morning message for a senior family member or designated recipient ("Senior"). The AI generates content based on the Senior's location, interests, and preferences, and classifies their replies to provide wellness status updates to the Caregiver.

3. Not a Medical or Emergency Service

GoodMorningBuddy is a wellness and check-in tool. It is not a medical device, healthcare provider, emergency response system, or personal emergency response system (PERS). The Service does not diagnose, treat, or monitor medical conditions. In an emergency, call 911 or your local emergency number. Do not rely on this Service for medical advice or emergency assistance.

4. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By setting up the Service for a Senior, you represent that you have obtained the Senior's consent to receive automated text messages and to have their replies processed by our AI system.

5. Account and Setup

The Caregiver is responsible for providing accurate information during setup, including the Senior's phone number, timezone, location, and interests. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

6. SMS Messaging Terms

If and when SMS messaging features are made available, enrolling a Senior in the Service will require the Senior's consent to receive recurring automated text messages from GoodMorningBuddy. Message frequency may vary and is expected to be approximately one message per day. Message and data rates may apply depending on the Senior's mobile carrier and plan.

If SMS messaging is launched, applicable opt-out and support instructions, which may include keywords such as STOP or HELP, will be provided in the messaging experience and related onboarding materials. We intend to operate any messaging program in accordance with applicable laws, carrier requirements, and registration obligations in the jurisdictions where the Service is offered.

7. AI-Generated Content

Messages sent to Seniors are generated by artificial intelligence. While we strive for accuracy and appropriateness, AI-generated content may occasionally contain errors, inaccuracies, or content that is not perfectly tailored. We do not guarantee the accuracy of weather data, local information, news, or any other content included in messages. You acknowledge and accept these limitations.

8. Subscriptions and Billing

The Service is offered on a subscription basis. Pricing, billing cycles, and plan details are presented at the time of purchase. All fees are charged in advance and are non-refundable except as described in our Refund Policy. We reserve the right to change pricing with 30 days' notice.

9. Caregiver and Senior Roles

The Caregiver is the subscribing and paying customer. The Senior is the recipient of daily messages. These may be different individuals. The Caregiver receives only a high-level wellness status summary (e.g., "replied and doing well" or "no reply yet") and does not have access to the content of the Senior's conversations. 10. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Enroll a Senior without their informed consent.
  • Attempt to reverse-engineer, disassemble, or decompile any part of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to send unsolicited or unauthorized messages to third parties.

11. Intellectual Property

All content, software, designs, trademarks, and other materials associated with GoodMorningBuddy are owned by MobiusVision LLC or its licensors. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

12. Limitation of Liability

To the maximum extent permitted by law, MobiusVision LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to: missed or delayed messages, inaccurate AI-generated content, failure to detect or escalate a concerning reply, or any reliance on the Service as a substitute for medical or emergency services.

Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

14. Termination

You may cancel your subscription at any time through your account settings or by contacting us. We may suspend or terminate your access to the Service if you violate these Terms or for any other reason at our reasonable discretion, with notice where practicable.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Wyoming.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
